Terms & Conditions
Last updated: 23 October 2026
1. About these terms
These terms apply to the use of seqoia.com and to all quotes, proposals and agreements under which Seqoia B.V. i/o (“Seqoia”, “we”) provides services to a business client (the “Client”). Our services are for businesses only. The Client’s own general terms do not apply. Where a signed agreement differs from these terms, the agreement prevails.
2. Use of the website
The website provides general information only and is not advice. We aim to keep it accurate but do not guarantee that it is complete or up to date, and we are not liable for decisions based on it. You may not misuse the website or reuse its content commercially without our permission.
3. Quotes and agreements
Quotes are non-binding and valid for 30 days unless stated otherwise. An agreement is formed when the Client accepts a quote or proposal in writing (email included), or when we start work at the Client’s request.
4. Our services
We perform our services with due care and to the best of our ability. This is an obligation of effort, not of result, unless a specific result is expressly agreed in writing. We may engage third parties to carry out parts of the work. Delivery dates are targets, not strict deadlines, unless agreed otherwise.
5. Client information and cooperation
The Client provides the data, access and cooperation we need, on time, and is responsible for its accuracy and completeness. Our footprint calculations, reports and advice rely on that information. Extra work or delays caused by incomplete or late information may be charged.
6. Carbon credits and compliance
- Our reports and advice support the Client’s compliance, but the Client remains responsible for its own reporting, filings and decisions. We do not guarantee acceptance by any authority, auditor or rating body.
- Carbon credits are subject to the rules of the relevant standard and registry. Unless caused by our own fault, we are not responsible for changes to those rules, or for the reclassification, invalidation or change in value of credits after delivery.
- We do not provide legal, tax, accounting or investment advice.
7. Fees and payment
Prices are in euros and exclude VAT. Invoices are payable within 30 days. If payment is late, statutory commercial interest (Article 6:119a Dutch Civil Code) and reasonable collection costs are due, and we may suspend our services until payment is received. For agreements longer than one year, we may index our fees annually.
8. Intellectual property
All intellectual property in our methods, tools, templates and software remains with Seqoia. On full payment, the Client receives a non-exclusive right to use the deliverables for its own business purposes, including sharing them with its auditors and regulators.
9. Confidentiality
Each party keeps confidential information received from the other confidential and uses it only for the agreement. This does not apply to information that is public or that must be disclosed by law.
10. Liability
Our total liability under an agreement is limited to the fees paid under that agreement in the 12 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, such as lost profit, lost savings, fines or reputational damage. These limits do not apply in case of wilful misconduct or deliberate recklessness. Any claim lapses 12 months after the Client became aware of it.
11. Force majeure
Neither party is liable for failures caused by circumstances beyond its reasonable control. If force majeure lasts longer than 60 days, either party may terminate the affected agreement in writing.
12. Term and termination
Agreements run for the agreed term. Either party may terminate with immediate effect by written notice if the other party materially breaches the agreement and does not remedy it within 30 days of notice, or becomes insolvent. Work performed up to termination will be invoiced.
13. Personal data
We handle personal data as described in our Privacy Policy. Where we process personal data on the Client’s behalf, the parties will enter into a data processing agreement.
14. Governing law and disputes
These terms and all agreements are governed by Dutch law. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply. Disputes will be submitted to the competent court in The Hague.
15. Changes
We may update these terms. Changes apply to new agreements; existing agreements continue under the version that applied when they were made.
